Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "User") and LGX2RICHARDS, LLC, doing business as Zelo ("Zelo," "we," "us," or "our"). They govern your access to and use of the Zelo website, applications, and services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy, which are incorporated by reference. If you do not agree, do not use the Service.
1. What Zelo is
Zelo is a tool that lets you save, organize, and share links to content that is hosted elsewhere on the internet ("tiles"), and to publish a public profile of those links. Zelo does not host, create, control, endorse, or verify the underlying content that tiles point to. When you click a tile, you leave Zelo and go to a third-party website that Zelo does not operate. We display limited preview information (such as a title, thumbnail, and source domain) supplied by third-party services to help you recognize a link. You are responsible for the links you save and publish.
2. Eligibility
You must be at least 18 years old to create an account or use the Service. By using the Service you represent that you are 18 or older and that you have the legal capacity to enter into these Terms. The Service is not directed to, and may not be used by, anyone under 18.
3. Your account
You must provide accurate information when you register and keep it current. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at buildzelo@gmail.com if you suspect unauthorized access. We may refuse, suspend, or terminate accounts at our discretion, including for violations of these Terms or the Acceptable Use Policy.
4. Your content and the license you grant us
You retain ownership of the content, links, text, images, and information you submit, save, or publish ("Your Content"). You represent and warrant that you have all rights necessary to submit Your Content and to link to and display it through the Service, and that Your Content does not violate these Terms, the Acceptable Use Policy, or any law or third-party right.
To operate the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute Your Content (including cached previews, thumbnails, and metadata) for the purpose of providing, improving, and promoting the Service. This license ends when you delete Your Content or your account, except for (a) content already shared with others, (b) content retained as required by law, and (c) backups kept for a commercially reasonable period.
You are solely responsible for Your Content. We are not obligated to monitor it, but we may review, remove, or restrict any content that we believe violates these Terms, the Acceptable Use Policy, or applicable law, at any time and without notice.
5. Acceptable use
Your use of the Service is governed by our Acceptable Use Policy. Violations may result in content removal, suspension, or termination, and may be reported to law enforcement where required.
6. Paid services, subscriptions, and creator monetization
6.1 Zelo Pro.
Zelo offers a paid subscription ("Zelo Pro") for $34.99/month (or the price displayed at checkout), which may include a free trial. By starting a subscription you authorize us and our payment processor to charge your payment method on a recurring basis until you cancel. Subscriptions renew automatically at the end of each billing period unless cancelled before renewal.
6.2 Billing and processor.
Payments are processed by Stripe. We do not store full payment card details. Your use of paid features is also subject to Stripe's terms. You are responsible for any applicable taxes not collected by us.
6.3 Cancellation and refunds.
You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period. Except where required by law, payments are non-refundable and partial periods are not pro-rated.
6.4 Creator monetization and brand deals.
The Service may allow creators to monetize content (for example, locked sections) and may facilitate sponsorship or "brand deal" arrangements between creators and brands. Where Zelo facilitates such arrangements, Zelo is a facilitator and is not a party to the agreement between a creator and a brand unless expressly stated. Funds may be processed and disbursed through Stripe and Stripe Connect, subject to their terms, identity verification, and payout requirements. Monetized and sponsored content must comply with the Acceptable Use Policy, including its restriction that adult, sexually explicit, and other prohibited content may never be used with paid, payout, or sponsorship features.
6.5 Price changes.
We may change prices or features on a going-forward basis with notice as required by law.
7. Third-party content and services
The Service links to and integrates with third-party websites and services that we do not control, including the destinations of user-saved tiles and providers such as Stripe and link-preview services. We are not responsible for third-party content, websites, products, services, or practices. Accessing third-party content is at your own risk and subject to the third party's terms and policies.
8. Intellectual property and copyright
The Service, including its software, design, trademarks, and branding (but excluding Your Content and third-party content), is owned by Zelo or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose.
Copyright (DMCA). We respect intellectual property rights. If you believe content accessible through the Service infringes your copyright, send a notice to our designated agent at [INSERT DMCA/COPYRIGHT CONTACT] including the information required by 17 U.S.C. § 512(c)(3). We will respond to valid notices, may remove or disable access to the material, and may terminate repeat infringers.
9. Disclaimers
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY THIRD-PARTY CONTENT IS ACCURATE, LAWFUL, OR SAFE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZELO AND ITS OWNERS, MEMBERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE OR ANY THIRD-PARTY CONTENT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify and hold harmless Zelo and its owners, members, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, your violation of these Terms or the Acceptable Use Policy, or your violation of any law or third-party right.
12. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms or the Acceptable Use Policy. Upon termination, the licenses you grant us survive only as described in Section 4, and Sections 4 and 7–14 survive termination.
13. Dispute resolution and governing law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-laws principles. [INSERT JURISDICTION AND DISPUTE RESOLUTION CLAUSE]
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting the updated Terms with a new effective date or by email). Your continued use of the Service after changes take effect constitutes acceptance.
15. General
These Terms, together with the Privacy Policy and Acceptable Use Policy, are the entire agreement between you and Zelo regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
